One of India's most anticipated consumer IPOs has taken its first formal step. Hindustan Coca-Cola Holdings Limited (HCCH), the parent of Coca-Cola's Indian bottling company Hindustan Coca-Cola Beverages (HCCB), has filed its draft red herring prospectus (DRHP) with the Securities and Exchange Board of India (SEBI). The filing was made on November 6 and reported on November 7.

The proposed issue is entirely an offer for sale (OFS), which means the company will not raise any fresh money. Instead, the Coca-Cola group entity that owns most of the business will sell part of its stake to public investors.

IPO Structure: What Is on Offer

According to the draft papers, the IPO comprises an offer for sale of up to 99,74,61,456 equity shares, or roughly 99.75 crore shares, with a face value of Rs 10 each. The selling shareholder is Hindustan Coca-Cola Overseas Holdings Pte Ltd. Since it is a pure OFS, all proceeds will go to the seller and not to HCCH.

The price band and the final rupee size of the issue have not been announced yet. Earlier reports had suggested the company could raise around $1 billion, but the DRHP does not confirm an amount. The shares are proposed to be listed on both BSE and NSE.

Who Owns the Business

The Coca-Cola Company currently holds 60% of HCCH through Hindustan Coca-Cola Overseas Holdings, while the Jubilant Bhartia Group holds the remaining 40%, a stake it picked up in 2025. After the IPO, Coca-Cola's holding is expected to fall to around 45%, while Jubilant's stake will remain unchanged. That would make the bottler a jointly controlled, publicly listed company for the first time.

Financial Performance

The draft papers show strong recent growth. For the three months ended June 30, 2026, revenue from operations stood at Rs 4,310.17 crore, up 20.46% from a year earlier. Total sales volume grew 18.61%. Profitability improved too, with the EBITDA margin (excluding other income and exceptional items) rising to 17.20% from 13.76% in the same quarter last year.

Scale of the Operations

HCCB is among the largest bottlers in the Coca-Cola system in India. It operates across 10 states and four Union Territories, reaching about 17 lakh retail outlets through 2,273 distributors. Its manufacturing network includes 14 production facilities, eight co-packing units and 90 bottling lines, and it makes 41 beverages, including popular names such as Thums Up, Maaza and Kinley.

The company's key markets have a combined population of about 61.7 crore and include five of India's eight largest metros. The DRHP estimates the non-alcoholic ready-to-drink beverage market in these states at Rs 63,730 crore in FY26, projected to nearly double to Rs 1,18,320 crore by FY31, a compound annual growth rate of 13.17%.

Bankers on the Deal

Kotak Mahindra Capital, Citigroup, JP Morgan, Morgan Stanley, Axis Capital, Goldman Sachs and IIFL Capital Services are the book-running lead managers for the issue.

What It Means for Investors

A listed Coca-Cola bottler would give Indian investors a direct way to bet on the country's fast-growing soft drinks and packaged beverages market, a space where listed options are limited. Because the issue is a pure OFS, the business itself will not get new capital for expansion, which investors usually weigh while judging valuation.

Investors will also look closely at the price band, how the valuation compares with listed consumer and beverage companies, and how much of the issue is reserved for retail buyers once the final prospectus is out.

What Happens Next

SEBI will now review the draft papers, a process that typically takes a few months. Once the regulator gives its observations, the company can file the red herring prospectus, announce the price band and open the issue for subscription. Earlier reports had pointed to a listing in 2027, though no official timeline has been given yet.
